Independent Consultant Enrollment Agreement In the Agreement, the party who is granting the right to use the licensed property will be referred to as “Licensor” or “DFPL” and the party who is receiving the right to use the licensed property will be referred to as “Seminar Leader”. The parties agree as follows: 1. GRANT OF LICENSE. Licensor owns Transforming Debt Into Wealth Seminar (“TDIW Seminar”). In accordance with this Agreement, Licensor grants Seminar Leader a nonexclusive license to use the TDIW Seminar for a one (1) year period as of the date of this agreement as signed below. This agreement will renew automatically for one year except in the event of non-payment or violation of the terms of this “Agreement”. Seminar Leader understands that Licensor retains title and ownership of the TDIW Seminar. 2. PAYMENT OF LICENSING FEE. Seminar Leader will pay to Licensor an annual licensing fee in the amount of two thousand nine hundred ninety five dollars ($2,995) for the first year of this agreement and one thousand five hundred dollars ($1,500) each year hereafter. Seminar leader understands that this payment must be made “up-front” each year on or before the anniversary date of this agreement as dated below. Payment shall be made by Bank draft, Certified check or Money Order, or credit card. If by personal or business there may be a ten day delay prior to processing this licensing request. 3. PAYMENT TO SEMINAR LEADER. Seminar Leader understands remuneration under the terms of this agreement shall be rendered at the point in which Seminar Leader “sells” DFPL products. Seminar Leader further understands that DFPL will NOT pay Seminar Leader directly and that any and all remuneration is dependant upon Seminar Leader’s successful sale of DFPL products under the terms of this Licensing Agreement. Terms of Payment to Seminar Leaders is understood to be the difference between the wholesale price paid for said products and the sale price (Retail Price) Seminar Leader receives for same. Terms of “wholesale” pricing are outlined in the “Seminar Leader Price List” as published at the time of this agreement. Seminar Leader understands that these prices may be changed at the discretion of DFPL under the terms of the “Annual Seminar Leader Licensing Agreement” that accompanies this agreement. 4. MODIFICATIONS. Seminar Leader may not modify, change, re-publish, or re-produce the TDIW Seminar in any manner on the Internet, on any computer, CD-ROM, or any other media without the expressed written consent and approval of Licensor. 5. NON-COMPETE COVENANT. That as part of the consideration for issuing the license during the term of Seminar Leaders Licensing Agreement, and for a period of 2 years after the termination of Seminar Leader’s Licensing Agreement, Seminar Leader will not directly or indirectly engage in any business that competes with DFPL. This covenant shall include, but not be limited, to the geographical area of the United States of America. 6. NON-SOLICITATION COVENANT. That as part of the consideration for issuing the license during the term of Seminar Leaders Licensing Agreement, and for a period of 2 years after the termination of Seminar Leader’s Licensing Agreement, Seminar Leader will not directly or indirectly solicit business from, or attempt to sell, license or provide the same or similar products or services as are now provided to, any customer or client of DFPL. Further, for a period of 2 years after the effective date of this Agreement, Seminar Leader will not directly or indirectly solicit, induce, or attempt to induce any employee of DFPL to terminate his or her employment with DFPL. 7. CONFIDENTIALITY AGREEMENT a. CONFIDENTIAL INFORMATION. The term “Confidential Information” means any information or material which is proprietary to DFPL, whether or not owned or developed by DFPL, which is not generally known other than by DFPL, and which Seminar Leader may obtain through any direct or indirect contact with DFPL. i. Confidential Information includes without limitation: - Business records and plans - Trade secrets - Technical information - Products - Product design information - Pricing structure - Discounts - Costs - Computer programs and listings - Copyrights and other intellectual property - Marketing Strategies - And other proprietary information b. PROTECTION OF CONFIDENTIAL INFORMATION. Seminar Leader understands and acknowledges that the Confidential Information has been developed or obtained by DFPL by the investment of significant time, effort and expense, and that the Confidential Information is a valuable, special and unique asset of DFPL which provides DFPL with a significant competitive advantage, and needs to be protected from improper disclosure. In consideration for the disclosure of the Confidential Information, Seminar Leader agrees to hold in confidence and to not disclose the Confidential Information to any person or entity without the prior written consent of DFPL. In addition, Seminar Leader agrees that: c. NO COPYING/MODIFYING. Seminar Leader will not copy or modify any Confidential Information without the prior written consent of DFPL. d. APPLICATION TO EMPLOYEES. Further, Seminar Leader shall not disclose any Confidential Information to any employees of Seminar Leader, except those employees who are required to have the Confidential Information in order to perform their job duties in connection with the limited purposes of this Agreement. Each permitted employee to whom Confidential Information is disclosed shall sign a non-disclosure agreement substantially the same as this Agreement at the request of DFPL. e. UNAUTHORIZED DISCLOSURE OF INFORMATION. If it appears that Seminar Leader has disclosed (or has threatened to disclose) Confidential Information in violation of this Agreement, DFPL shall be entitled to an injunction to restrain Seminar Leader from disclosing, in whole or in part, the Confidential Information. DFPL shall not be prohibited by this provision from pursuing other remedies, including a claim for losses and damages. f. RETURN OF CONFIDENTIAL INFORMATION. Upon the written request of DFPL, Seminar Leader shall return to DFPL all written materials containing the Confidential Information. Seminar Leader shall also deliver to DFPL written statements signed by Seminar Leader certifying that all materials have been returned within five (5) days of receipt of the request. g. RELATIONSHIP OF PARTIES. Neither party has an obligation under this Agreement to purchase any service or item from the other party, or commercially offer any products using or incorporating the Confidential Information. This Agreement does not create any agency, partnership, or joint venture. h. NO WARRANTY. Seminar Leader acknowledges and agrees that the Confidential Information is provided on an AS IS basis. DFPL MAKES NO WARRANTIES, EXPRESS OR IMPLIED, WITH RESPECT TO THE CONFIDENTIAL INFORMATION AND HEREBY EXPRESSLY DISCLAIMS ANY AND ALL IMPLIED WARRANTIES OF MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE. IN NO EVENT SHALL DFPL BE LIABLE FOR ANY DIRECT, INDIRECT, SPECIAL, OR CONSEQUENTIAL DAMAGES IN CONNECTION WITH OR ARISING OUT OF THE PERFORMANCE OR USE OF ANY PORTION OF THE CONFIDENTIAL INFORMATION. DFPL does not represent or warrant that any product or business plans disclosed to Seminar Leader will be marketed or carried out as disclosed, or at all. Any actions taken by Seminar Leader in response to the disclosure of the Confidential Information shall be solely at the risk of Seminar Leader. i. LIMITED LICENSE TO USE. Seminar Leader shall not acquire any intellectual property rights under this Agreement except the limited right to use set out above. Seminar Leader acknowledges that, as between DFPL and Seminar Leader, the Confidential Information and all related copyrights and other intellectual property rights, are (and at all times will be) the property of DFPL, even if suggestions, comments, and/or ideas made by Seminar Leader are incorporated into the Confidential Information or related materials during the period of this Agreement. 8. DEFAULTS. If Seminar Leader fails to abide by the obligations of this Agreement, including the obligation to make a royalty payment when due, Licensor shall have the option to cancel this Agreement by providing 30 days written notice to Seminar Leader. Seminar Leader shall have the option of preventing the termination of this Agreement by taking corrective action that cures the default, if such corrective action is taken prior to the end of the time period stated in the previous sentence, and if there are no other defaults during such time period. 9. ARBITRATION. All disputes under this Agreement that cannot be resolved by the parties shall be submitted to arbitration under the rules and regulations of the American Arbitration Association. Either party may invoke this paragraph after providing 30 days written notice to the other party. All costs of arbitration shall be divided equally between the parties. Any award may be enforced by a court of law. 10. INJUNCTION. It is agreed that if Seminar Leader violates the terms of this Agreement, irreparable harm will occur, and money damages will be insufficient to compensate DFPL. Therefore, DFPL will be entitled to seek injunctive relief (i.e., a court order that requires Seminar Leader to comply with this Agreement) to enforce the terms of this Agreement. 11. WARRANTIES. Neither party makes any warranties with respect to the use, sale or other transfer of the TDIW Seminar by the other party or by any third party, and Seminar Leader accepts the product “AS IS.” In no event will Licensor be liable for direct, indirect, special, incidental, or consequential damages, that are in any way related to the TDIW Seminar. 12. TRANSFER OF RIGHTS. This Agreement shall be binding on any successors of the parties. Neither party shall have the right to assign its interests in this Agreement to any other party, unless the prior written consent of the other party is obtained. 13. TERMINATION. This Agreement may be terminated by either party by providing 30 days written notice to the other party. This Agreement shall terminate automatically on the anniversary date of this “Agreement” as dated below unless the subsequent Annual Licensing fees have been paid as outline in Item #2 above. 14. ACCEPTANCE. DFPL accepts this agreement upon receipt of payment and receipt of this document signed by Seminar Leader as of the date of arrival of the aforementioned by the DFPL corporate offices located at: Debt-FREE & Prosperous Living, Inc. 310 Second Street Boscobel, WI 53805 Seminar Leader understands that his/her receipt of seminar materials constitutes the “Acceptance” of this agreement by DFPL. Seminar Leader understands that DFPL reserves the right to deny this agreement for any reason. Should DFPL deny the agreement, DFPL will contact Seminar Leader, in writing, at the address provided by Seminar Leader above within 30 days from the receipt of agreement. Furthermore, should DFPL deny this agreement, any and all payments will be returned to Seminar Leader with said written denial. 15. ENTIRE AGREEMENT. This Agreement contains entire agreement of the parties and there are no other promises or conditions in any other agreement whether oral or written. This Agreement supersedes any prior written or oral agreements between the parties. 16. AMENDMENT. This Agreement may be modified or amended, if the amendment is made in writing and is signed by both parties. 17. SEVERABILITY. If any provision of this Agreement shall be held to be invalid or unenforceable for any reason, the remaining provisions shall continue to be valid and enforceable. If a court finds that any provision of this Agreement is invalid or unenforceable, but that by limiting such provision it would become valid or enforceable, then such provision shall be deemed to be written, construed, and enforced as so limited. 18. WAIVER OF CONTRACTUAL RIGHT. The failure of either party to enforce any provision of this Agreement shall not be construed as a waiver or limitation of that party’s right to subsequently enforce and compel strict compliance with every provision of this Agreement. 19. APPLICABLE LAW. This Agreement shall be governed by the laws of the State of Wisconsin.
